TRI-STATE KARTING, INC. BY-LAWS
Amended 11/14/2011, 1/13/2002 and 12/10/2006
ARTICLE ONE- MEMBERSHIP
There shall be one class of membership, namely, active.
ARTICLE TWO- ELIGIBILITY
Eligibility of members of Tn-State Karting, Inc. is based upon payment of annual dues. Each person of that person’s immediate family is eligible to be a member of Tn-State Karting, Inc. Eligibility is limited to charter members paid as of January 15, 1996, and paid members after that date. Memberships in Tn- State Karting, Inc. can be revoked by a vote of 2/3 members present. Immediate family shall be defined as: a maximum of two (2) parents or legal guardians and their legal wards or offspring under or equal to the age of twenty-one (21). Membership is non-transferable or salable.
ARTICLE THREE- DUES
The membership dues of this club shall be one hundred dollars ($100) per year, payable annually in advance. The annual membership shall run from January 1 to December 31. Membership dues shall be used for club expenses. A non racing membership is available for fifty dollars ($50)
ARTICLE FOUR- MEETINGS
1. Meetings of Tn-State Karting, Inc. shall be held on the second Sunday of each month, unless directed otherwise by the board.
2. All business of this club shall be transacted via voice or gesture vote except elections, which shall be by ballot.
3. During the board meeting, four (4) members shall constitute a quorum of the Board of Directors for the transaction of any day to day business.
4. The Board of Directors and race officials may hold a race review meeting. Any decisions from the race review meeting shall be posted, unless private or personal to a single individual.
ARTICLE FIVE- ELECTIONS
The annual election of officers shall take place at the October meeting of the club, In order to qualif’ for an elected office, each person nominated must be an active member of the club and in good standing. All officers shall be elected by ballot. The Board of Directors consists of the duly elected of the club and three (3) board members. The three (3) board members shall serve a term of one (1) year with no term limits imposed.
ARTICLE SIX- GOVERNING
The proceedings of the club and it Directors and its committees shall be governed in this conduct according to the latest edition of Robert’s Manual of Parliamentary Rules, except as otherwise provided. There shall be no fixed order of business. No contributions shall be solicited at any meeting of the club, or by individual members unless authorized by the Board of Directors. No resolution or motion to commit this club on any matter shall be considered until it has been presented to the members and recommendations of the members received.
ARTICLE SEVEN- AMENDMENTS
These by-laws may be amended at any meeting or at a special meeting, called for this purpose. The votes of 2/3 of all the members present shall be necessary, and written notice setting down the proposed amendment shall have been mailed to the last known address of each membership at least ten (10) days before such meeting.
ARTICLE EIGHT- STATUS AND ASSETS
Tn-State Karting, Inc. shall be a non-profit organization and shall be operated exclusively for pleasure, recreation and other non-profitable purposes. No part of the net earnings of the organization shall be to the benefit of any member or individual and no substantial part of the activities of the organization shall be the carrying on of propaganda or otherwise attempting to influence legislation. The organization shall not participate in or intervene in any political campaign on behalf of any candidate for public office.
In the even of dissolution of the organization, the assets remaining after all liabilities and obligations of the organization shall have been paid, shall be distributed as follows:
a. Assets held by the organization upon conditions requiring the return, transfer or conveyance in the event of dissolution shall be returned, transferred or conveyed in accordance with such requirements.
b. All other assets, if any, shall be transferred or conveyed to one or more domestic organizations, societies or corporations organized and operated exclusively for pleasure, recreations and other non-profitable purposes. No part of the net earnings shall be to the benefit of any private shareholder.
ARTICLE NINE- BUSiNESS ADDRESS
The place where the principal business of the organization is to be transacted is at

, Amarillo, Texas 79118, and the name of its agent at such address is the duly elected president.
ARTICLE TEN- REVENUE
The revenue of this club shall include but not be limited to membership dues payable annually in advance. All expenditures shall be voted on by club members, 16 years or older. All the funds of the club shall be deposited by the treasurer in the name of Tri-State Karting, Inc., Amarillo, Texas, in such bank as designated by the Board of Directors. In case of emergency, the President and or the Treasurer may make disbursements without order from the members. Such activity shall be posted.
ARTICLE ELEVEN- CONDUCT
Any member who, by their conduct, violates any of the ethics, laws or rules of this club, may be expelled from membership by a two-thirds (2/3) vote of the membership present at a regular or special meeting, provided this said member shall have been given at least ten (10) days notice in writing of such pending action, service of such notice may be a personal delivery or by certified letter. Any members whose connection with this club shall be severed by resignation, death, expulsion, or otherwise, shall forfeit all interest in any property belonging to Tri-State Karting, Inc.
